These Terms of Service ("Terms") govern your use of the websites and services provided by NewBrand ("we," "us," or "our"), including Digital Toolkit, RepuFlow, and RecoverPay (collectively, the "Services"). By accessing or using any of our Services, you agree to be bound by these Terms.
Digital Toolkit is a collection of downloadable business tools, including spreadsheet templates, financial models, and Notion templates. Products are delivered digitally upon purchase through our e-commerce provider (Gumroad). Each purchase grants you a single-user license unless an agency or team license is separately purchased.
RepuFlow is a cloud-based reputation management platform that monitors online reviews, generates AI-assisted responses, and provides analytics across multiple review platforms. RepuFlow is offered on a monthly or annual subscription basis with tiered pricing based on number of locations and features.
RecoverPay is a failed payment recovery service for SaaS and subscription businesses. RecoverPay operates on a performance-based pricing model: you are charged a percentage (as specified in your service agreement) of successfully recovered revenue only. There is no upfront cost or monthly fee beyond the recovery commission.
Certain Services require you to create an account. You agree to provide accurate, current, and complete information, and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
All purchases are processed through Gumroad. Prices are listed in USD. Payments are one-time unless otherwise stated. Refunds are available within 30 days of purchase if the product is materially defective or not as described. Due to the digital nature of the products, refunds are not available for change-of-mind purchases after download.
Subscription fees are billed monthly or annually in advance. You may cancel at any time; cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of a billing period. We reserve the right to change pricing with 30 days' notice. Free trials, where offered, convert to paid subscriptions at the end of the trial period unless cancelled.
RecoverPay charges a commission on successfully recovered payments only. The commission rate is specified in your service agreement (typically 20% of recovered revenue). Invoices are generated monthly based on confirmed recoveries. Payment is due within 15 days of invoice date. A payment is considered "recovered" when the charge is successfully processed and not subsequently reversed within 30 days.
All content, software, designs, text, graphics, and other materials on our websites and within our products are owned by NewBrand or our licensors and are protected by intellectual property laws.

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
For RepuFlow and RecoverPay, you grant us the necessary permissions to access your connected third-party accounts (review platforms, payment processors) solely for the purpose of providing the Services. You are responsible for ensuring you have authorization to connect such accounts.
We strive to maintain high availability of our Services but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime, data loss, or service interruptions caused by factors beyond our reasonable control.
To the maximum extent permitted by applicable law, NewBrand shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Services.
Our total aggregate liability for any claims arising from or related to the Services shall not exceed the amounts paid by you to NewBrand in the twelve (12) months preceding the claim.
For RecoverPay specifically: while we employ commercially reasonable efforts to recover failed payments, we do not guarantee any specific recovery rate or outcome. Historical performance metrics are illustrative and not guarantees of future results.
You agree to indemnify, defend, and hold harmless NewBrand, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.
We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination of a subscription service, your access will continue until the end of the current billing period unless termination is due to a material breach.

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Digital Toolkit products are tools and templates provided for informational and operational purposes. They do not constitute financial, legal, or professional advice. You are responsible for verifying the suitability and accuracy of any tool for your specific circumstances.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Delaware.
We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
